1. Scope

1.1 These General Terms and Conditions (Terms) apply to all business relationships of Strobel Industry GbR, Wagrienring 12-14, 23730 Sierksdorf, Germany (hereinafter "we" or "us") with our customers (hereinafter "Customer"). They govern the placement of manufacturing orders with partner shops (sections 2 to 4) and services that we exceptionally provide and invoice ourselves (sections 5 to 7). They apply exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) (B2B).

1.2 Deviating, conflicting or supplementary terms of the Customer do not become part of the contract unless we expressly agree to their validity in writing.

1.3 These Terms also apply to future transactions with the Customer without the need for a renewed express agreement.

2. Placement

2.1 We review enquiries for CNC turned and milled parts and comparable services on the basis of the documents provided by the Customer and establish contact with one or more suitable partner shops (placement).

2.2 Placement is free of charge and non-binding for the Customer. There is no entitlement to our finding a suitable partner shop or to a contract being concluded with a partner shop.

2.3 We usually get back to the Customer within 24 hours of receiving an enquiry. This is a target, not a binding deadline.

2.4 Information on services, materials, tolerances and prices on our website (www.strobel-industry.de) is general information and does not constitute an offer.

3. Contractual relationship in placement

3.1 A manufacturing order is concluded directly between the Customer and the partner shop. We do not become a party to the contract and do not act as representative of the Customer or the partner shop.

3.2 Quotation, manufacture, delivery, invoicing, warranty and all other handling of the manufacturing order lie solely with the partner shop. The terms agreed between the Customer and the partner shop apply.

3.3 We select partner shops to the best of our knowledge. We give no guarantee for the performance, adherence to deadlines or solvency of a partner shop.

3.4 We may receive remuneration from the partner shop for the placement. This does not give rise to any costs for the Customer with us.

4. Customer documents

4.1 The Customer provides complete and correct documents, such as drawings, 3D models, quantities, material and date requirements. The Customer is responsible for their correctness.

4.2 The Customer warrants that it is entitled to pass on the documents and that no third-party rights prevent their use for the enquiry.

4.3 By sending an enquiry, the Customer agrees that we may pass the documents on to partner shops that are candidates for carrying out the enquiry.

5. Own services

5.1 If we exceptionally provide and invoice a service ourselves, sections 5 to 7 apply in addition. Our offers are subject to change. A contract is concluded as soon as we accept the order in writing (e.g. by email or order confirmation) or perform the service.

5.2 Prices are based on our offer or order confirmation and are in euros plus statutory VAT. Payments are due without deduction within 14 days of the invoice date unless otherwise agreed in writing. In the event of default in payment, we are entitled to charge default interest of 9 percentage points above the base interest rate pursuant to Section 247 BGB and a default lump sum pursuant to Section 288(5) BGB.

5.3 Delivery is ex works (EXW, Incoterms 2020) at the agreed place of dispatch unless otherwise agreed. Shipping costs are borne by the Customer. The risk of accidental loss or deterioration passes to the Customer upon handover to the carrier or upon collection.

5.4 Delivery dates are only binding if they have been expressly confirmed as such in writing. The Customer may only set off undisputed or legally established claims or assert a right of retention.

6. Retention of title

6.1 For goods we deliver ourselves under section 5, we retain title until all claims arising from the business relationship have been settled in full. The Customer is entitled to further processing in the ordinary course of business provided our claims remain secured.

6.2 The Customer must handle goods subject to retention of title with care and inform us immediately of any seizure or other impairment.

7. Warranty for own services

7.1 For services under section 5, we provide warranty in accordance with the statutory provisions (Sections 434 et seq. BGB) unless otherwise stipulated below.

7.2 Defects must be reported in writing without delay, at the latest within 10 working days of receipt of the goods; hidden defects without delay after discovery (Section 377 HGB).

7.3 In the case of justified defects, we provide subsequent performance at our discretion by repair or replacement. If subsequent performance fails, the Customer may demand a price reduction or withdraw from the contract.

8. Liability

8.1 We are liable without limitation for intent and gross negligence and for damage resulting from injury to life, body or health.

8.2 For simple negligence we are only liable in the event of a breach of essential contractual obligations; liability is then limited to the foreseeable damage typical for the contract.

8.3 In placement, we owe the careful review of the enquiry and the establishment of contact with a partner shop. We are not liable for services and obligations of the partner shop under the manufacturing order.

8.4 If the Customer supplied the material for own services under section 5, our liability is limited to proper processing.

9. Confidentiality

9.1 We treat all information provided by the Customer, in particular drawings, models and specifications, as confidential. For placement we pass it on only to partner shops that are candidates for carrying out the enquiry. Beyond that, we do not pass it on to third parties without the Customer's consent.

9.2 This does not apply to information that is publicly known or becomes known to us independently of the Customer.

10. Final provisions

10.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

10.2 The place of jurisdiction for all disputes arising from or in connection with the business relationship is the registered office of Strobel Industry GbR in Sierksdorf, provided the Customer is a merchant.

10.3 Should any provision of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.

10.4 The German version of these Terms is authoritative. Translations into other languages are provided for information only.
